By accessing or using Tri County Media's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services Description

Tri County Media provides digital advertising display services on screens located in businesses throughout Stark, Summit, and Portage counties in Ohio. We facilitate the display of your advertising content on our network of digital screens.

3. Account Registration and Eligibility

To use our services, you must:

• Be at least 18 years of age
• Have the legal authority to enter into this agreement
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your account credentials secure and confidential

You are responsible for all activities that occur under your account.

4. Advertising Content Guidelines

All advertising content must comply with the following guidelines:

• Content must be legal and not infringe on any third-party rights
• No misleading, false, or deceptive advertising
• No content that is defamatory, obscene, offensive, or inappropriate
• No content promoting illegal activities, violence, or discrimination
• Must comply with all applicable federal, state, and local laws
• Must respect intellectual property rights (you must own or have permission to use all content)

We reserve the right to reject or remove any content that violates these guidelines or that we deem inappropriate for any reason.

5. Service Plans and Pricing

Our services are offered on a subscription basis with month-to-month billing. Pricing and plan details are available on our pricing page. We reserve the right to modify our pricing with 30 days' notice to existing customers.

Payment Terms

• Payments are processed on a recurring monthly basis
• You authorize us to charge your payment method for the selected plan
• All fees are non-refundable except as required by law
• Failure to pay may result in suspension or termination of services

6. Service Delivery and Performance

We will make commercially reasonable efforts to display your advertisements according to your selected plan. However, we do not guarantee:

• Specific viewer numbers or demographics
• Specific business results or ROI
• Uninterrupted service at all locations
• That all screens will be operational 100% of the time

If a screen location becomes unavailable, we will replace it with a comparable location at no additional cost.

7. Cancellation and Termination

Your Right to Cancel

You may cancel your subscription at any time by providing 30 days' written notice. Your ads will continue to display through the end of your paid billing period.

Our Right to Terminate

We reserve the right to suspend or terminate your account if:

• You violate these Terms of Service
• Your content violates our guidelines
• You fail to make timely payments
• Your conduct is harmful to our business or reputation

8. Intellectual Property

You retain all rights to your advertising content. By using our services, you grant us a limited, non-exclusive license to display your content on our network for the duration of your subscription.

All Tri County Media trademarks, logos, and service marks are owned by us. You may not use them without our prior written permission.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRI COUNTY MEDIA SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or technical failures
• Acts or omissions of third-party venue partners

Our total liability shall not exceed the amount you paid for services in the three months prior to the claim.

10. Indemnification

You agree to indemnify and hold harmless Tri County Media from any claims, damages, losses, or expenses arising from:

• Your advertising content
• Your violation of these Terms of Service
• Your violation of any laws or third-party rights

11. Warranty Disclaimer

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

12. Dispute Resolution

These Terms shall be governed by the laws of the State of Ohio. Any disputes shall be resolved through good faith negotiation. If resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts in Stark County, Ohio.

13. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of material changes by email or through our website. Continued use of our services after changes constitutes acceptance of the modified terms.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.
